Terms of Service

Welcome to OUTBID. These Terms of Service govern your access to and use of OUTBID, including our website, apps, accounts, public message placements, profiles, crown history, archives, notifications, and related services.

By accessing or using OUTBID, you agree to these Terms. If you do not agree, do not use OUTBID.

1. Who We Are

OUTBID is operated by Always Second Technologies Inc. (“OUTBID,” “we,” “us,” or “our”).

2. Eligibility

You must be at least 13 years old to use OUTBID.

You must be at least 18 years old, or the age of majority where you live, to make purchases, place paid messages, or otherwise pay for OUTBID features. By making a purchase, you represent that you meet this requirement and are legally authorized to use the payment method.

We may refuse access, suspend accounts, or cancel transactions if we believe a user does not meet these requirements.

3. What You Are Buying

OUTBID allows eligible users to purchase placement of a public message.

When you buy a placement, you are buying the opportunity for your message to appear publicly on OUTBID according to the service mechanics at the time of purchase.

You are not buying any guaranteed duration, minimum display time, exclusivity period, traffic level, audience size, ranking permanence, or outcome.

OUTBID is competitive by design. Your message can be outbid, dethroned, replaced, removed, or superseded at any instant. In addition, even if your message is not outbid, it may expire after the maximum reign period set by OUTBID, after which it is dethroned and moved to the Hall of Crowns.

OUTBID may set, change, shorten, extend, or reset crown periods, maximum reign periods, minimum bids, bid increments, ranking rules, and placement mechanics at any time.

4. All Sales Final; No Refunds

ALL SALES ARE FINAL. NO REFUNDS.

Because OUTBID sells public placement opportunities in a live, competitive system, your message may be replaced immediately after purchase if another user outbids you.

Being outbid, dethroned, replaced, receiving limited display time, receiving no meaningful display time, receiving low traffic, or being unhappy with the result does not entitle you to a refund.

Expiration of a crown period or maximum reign period does not entitle you to a refund.

We may, in our sole discretion, issue credits, refunds, or other accommodations, but we are never required to do so unless required by law.

5. Public Messages and Permanent Archive

OUTBID includes public message placements, crown history, dethroned messages, and related public archive features, including the “Hall of Crowns” or similar features.

By posting, submitting, purchasing, or displaying a message on OUTBID, you understand and agree that:

1. your message may be publicly displayed;

2. your username, profile information, placement amount, crown history, timing, and related metadata may be publicly associated with the message;

3. your message may remain visible after it is dethroned;

4. OUTBID may permanently archive dethroned messages; and

5. deleting your account or profile does not necessarily remove your message from public archives.

The Hall of Crowns and similar archive features may keep dethroned messages forever.

Do not submit anything to OUTBID that you do not want to become public and permanently archived.

6. User Content Ownership and License

You retain ownership of content you submit to OUTBID, including messages, usernames, profile text, images, links, and other materials you provide (“User Content”).

By submitting User Content, you grant OUTBID a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, copy, display, publish, perform, reproduce, distribute, modify for formatting, create excerpts or previews of, moderate, remove, and archive your User Content in connection with operating, promoting, improving, and preserving OUTBID.

This license includes the right to display, store, and permanently archive your message, including after it has been dethroned, after your account is deleted, or after you stop using OUTBID.

You represent and warrant that you have all rights needed to submit your User Content and grant this license.

7. Prohibited Content

OUTBID is a paid public billboard-style service. You may not submit, link to, promote, or attempt to display content that we determine, in our sole discretion, is prohibited. Prohibited content includes:

1. illegal content or content promoting illegal activity;

2. hateful, discriminatory, or extremist content;

3. harassment, bullying, abuse, or targeted attacks;

4. doxxing, private personal information, or non-consensual disclosure of information;

5. threats, intimidation, incitement, or calls for violence;

6. sexual content, pornographic content, or sexually explicit material;

7. any sexual, exploitative, suggestive, abusive, or unsafe content involving minors;

8. intellectual property infringement, including copyright, trademark, or right-of-publicity violations;

9. impersonation, deceptive identity claims, fake official accounts, or misleading affiliation claims;

10. spam, scams, phishing, fraud, malicious links, malware, or deceptive redirects;

11. content designed to manipulate, disrupt, scrape, overload, or abuse OUTBID;

12. content that violates payment processor, hosting provider, app-store, or third-party platform rules; and

13. any content we otherwise determine is inappropriate, harmful, unsafe, or inconsistent with OUTBID.

8. Moderation Rights

We may review, reject, hide, remove, edit for formatting, limit distribution of, archive, or refuse to display any User Content at any time.

We may do this with or without notice and with or without refund, in our sole discretion, unless otherwise required by law.

We are not obligated to display any message, even if payment has been submitted or processed. We are not obligated to monitor all content, but we reserve the right to do so.

9. Accounts

You may need an account to use certain OUTBID features.

You agree to provide accurate information, keep your account secure, and promptly update your information if it changes. You are responsible for activity under your account.

We may suspend, limit, or terminate accounts for any reason, including suspected abuse, fraud, payment disputes, prohibited content, impersonation, security risk, or violation of these Terms.

10. Usernames, Profiles, and Impersonation

Usernames, display names, handles, profile photos, bios, websites, and other profile elements must not mislead others.

You may not impersonate another person, company, brand, public figure, government entity, or organization. You may not falsely suggest affiliation, endorsement, sponsorship, or verification.

We may reclaim, rename, restrict, reserve, or remove usernames or profile elements at any time, including for trademark reasons, impersonation concerns, security reasons, offensive content, inactivity, or platform administration.

Certain names may be reserved and unavailable.

11. Payments

Payments are processed by third-party payment providers, including Stripe. We do not store full payment card numbers on our own systems when using Stripe-hosted or Stripe-managed payment flows.

You agree to provide accurate billing and payment information. You authorize us and our payment processors to charge the applicable amount for your purchases, including taxes and fees where applicable.

You are responsible for any taxes, chargebacks, disputes, bank fees, failed payment fees, currency conversion charges, or payment-method issues related to your purchase.

12. Chargebacks and Payment Disputes

Because all sales are final, you agree not to initiate improper chargebacks or payment disputes based on being outbid, dethroned, replaced, receiving limited display time, or misunderstanding the competitive mechanics of OUTBID.

If you initiate a chargeback or payment dispute, we may suspend or terminate your account, remove your content, block future purchases, and contest the dispute using transaction records, placement logs, public display records, and these Terms.

13. Notifications

OUTBID may provide in-app notifications, unread badges, email notifications, or other alerts, including notices that you were outbid or dethroned.

Notifications may be delayed, fail to arrive, be inaccurate, or be unavailable. Notifications are provided for convenience only and do not create any entitlement to a refund, display time, ranking, or placement.

You may be able to control optional email notifications in your account settings. Some transactional or service-related messages may still be sent where permitted by law.

14. Third-Party Links and Content

Messages and profiles may contain links to third-party websites or services. We are not responsible for third-party content, websites, products, services, security, privacy practices, or availability.

You access third-party links at your own risk.

15. Intellectual Property

OUTBID, including its name, branding, interface, design, software, ranking mechanics, archives, and platform features, is owned by OUTBID or its licensors and is protected by intellectual property and other laws.

You may not copy, modify, reverse engineer, scrape, reproduce, sell, or exploit OUTBID except as allowed by these Terms or with our written permission.

16. Copyright and IP Takedown Process

If you believe content on OUTBID infringes your copyright or other intellectual property rights, contact our Copyright Agent:

For copyright notices, include: (1) your physical or electronic signature; (2) identification of the copyrighted work; (3) identification of the allegedly infringing material and where to find it; (4) your contact information; (5) a good-faith-belief statement; and (6) a statement, under penalty of perjury, that the information is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.

If we receive a notice that appears valid, we may remove or disable access to the allegedly infringing material and may notify the user who submitted it.

If you believe your content was removed or disabled by mistake or misidentification, you may send a counter-notice including: (1) your signature; (2) identification of the material and where it appeared before removal; (3) a statement, under penalty of perjury, of your good-faith belief that it was removed by mistake or misidentification; (4) your name, address, phone, and email; (5) consent to the jurisdiction of the federal district court for your district (or, if outside the U.S., any district where OUTBID may be found); and (6) a statement that you will accept service of process from the party who submitted the original notice.

We may forward counter-notices to the party that submitted the original notice, and may restore removed content if permitted or required by law. We may terminate, suspend, or restrict accounts of users who repeatedly infringe. We may also act on trademark, right-of-publicity, or impersonation complaints even if they are not formal DMCA notices. False, abusive, or bad-faith notices or counter-notices may result in suspension, termination, or legal consequences.

17. Repeat Infringer Policy

OUTBID may suspend or terminate accounts we determine are repeat infringers, and may restrict, remove, or refuse content from users who repeatedly violate intellectual property rights, impersonation rules, content rules, payment rules, or these Terms.

We decide whether a user is a repeat infringer or repeat violator in our sole discretion, considering notices, counter-notices, behavior, court orders, legal claims, account history, and other available information.

18. Feedback

If you send us ideas, suggestions, bug reports, feature requests, names, designs, concepts, or other feedback, you grant OUTBID the right to use it without restriction or compensation. We may use feedback to improve, modify, market, or build OUTBID or related services, and are not required to treat feedback as confidential.

19. Privacy

Your use of OUTBID is also governed by our Privacy Policy, which explains what we collect, what is public, what may be permanently archived, how we use information, how payments are handled, and what rights may apply to you.

By using OUTBID, you acknowledge that public messages, usernames, profiles, crown history, placement history, and Hall of Crowns records may be public and permanently archived as described in the Privacy Policy.

20. Service Changes, Availability, and Uptime

OUTBID may change, pause, limit, discontinue, or remove any part of the service at any time — including bidding mechanics, prices, placement rules, crown rules, public display rules, ranking systems, archive features, notifications, account features, moderation tools, or other functionality.

OUTBID may be unavailable, delayed, interrupted, inaccurate, or affected by bugs, maintenance, outages, third-party failures, attacks, network issues, payment-processor issues, hosting issues, or other events. We do not guarantee that OUTBID will be available at any particular time, that your message will be displayed for any particular duration, that notifications will arrive, that archives will always be available, or that any feature will continue to exist.

21. No Guarantee of Results

OUTBID does not guarantee any audience, impressions, clicks, views, engagement, followers, traffic, business results, publicity, ranking duration, placement duration, revenue, reputation benefit, or other outcome.

Any statistics, counters, rankings, histories, notifications, or analytics shown may be delayed, estimated, incomplete, inaccurate, or later corrected. You are responsible for deciding whether a purchase is worth the risk that your message may be outbid or removed at any instant.

22. Beta and Experimental Features

OUTBID may offer beta, experimental, early-access, or test features that may be unstable, incomplete, inaccurate, discontinued, changed, or removed at any time. We may run experiments on pricing, placement rules, notifications, archive displays, ranking mechanics, moderation, or other parts of OUTBID.

No beta, test, or experimental feature creates any entitlement to continued access, refunds, credits, compensation, or specific functionality.

23. Disclaimers

OUTBID is provided “as is” and “as available.” To the fullest extent permitted by law, OUTBID and its owners, operators, affiliates, officers, directors, employees, contractors, agents, licensors, service providers, and partners disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, security, and uninterrupted operation.

We do not warrant that OUTBID will meet your expectations; be uninterrupted, timely, secure, or error-free; display messages for any minimum period; deliver accurate notifications; keep rankings/crowns/archives/histories complete or error-free; avoid removing or moderating content; provide safe third-party links; correct defects; be free of viruses or malware; or produce any result from a purchase. Some jurisdictions do not allow certain disclaimers, so some may not apply to you.

24. Limitation of Liability

To the fullest extent permitted by law, OUTBID and its owners, operators, affiliates, officers, directors, employees, contractors, agents, licensors, service providers, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages — including lost profits, revenue, business, goodwill, data, reputational harm, emotional distress, lost opportunities, or cost of substitute services — even if advised of the possibility.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to OUTBID, these Terms, your account, your content, or any purchase will not exceed the greater of (1) the amount you paid OUTBID in the three months before the event giving rise to the claim, or (2) $100 USD.

These limitations apply to all theories of liability. Some jurisdictions do not allow certain limitations, so some may not apply to you.

25. Indemnification

You agree to defend, indemnify, and hold harmless OUTBID and its owners, operators, affiliates, officers, directors, employees, contractors, agents, licensors, service providers, and partners from any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: your use of OUTBID; your User Content; your messages, links, usernames, profile information, or public activity; your purchases or payment disputes; your violation of these Terms or any law; your violation of another person’s rights (including intellectual property, privacy, publicity, or contractual rights); your impersonation, fraud, spam, abuse, malicious links, or prohibited content; your chargebacks; or your interactions with other users or third parties.

We may control the defense of any matter subject to indemnification, and you agree to cooperate.

26. User Disputes and Release

You are solely responsible for your interactions with other users, visitors, advertisers, linked sites, and third parties. OUTBID is not responsible for disputes between users, including about messages, outbidding, usernames, links, profiles, impersonation claims, public criticism, rankings, or crown history.

To the fullest extent permitted by law, you release OUTBID from claims, demands, damages, losses, liabilities, and expenses arising out of or related to disputes with other users or third parties.

27. Suspension and Termination

We may suspend, restrict, or terminate your access at any time, with or without notice, for any reason, including if we believe you violated these Terms; your content violates our rules; your account presents a security risk; your payment is disputed, reversed, fraudulent, or unauthorized; you are abusing, scraping, attacking, or disrupting OUTBID; you are impersonating someone; you are violating IP or privacy rights; your use may create legal, safety, security, reputational, or operational risk; or we decide to discontinue or modify the service.

Termination or suspension does not entitle you to a refund. After termination, we may retain information as described in these Terms and the Privacy Policy, including public messages, crown history, Hall of Crowns records, payment records, fraud records, security logs, moderation records, and legal records.

Sections that by their nature should survive termination will survive — including those about public archives, licenses, no refunds, payment disputes, intellectual property, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and records retention.

28. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may notify you by posting updated Terms, changing the “Last Updated” date, sending an email, providing an in-app notice, or another reasonable method.

Your continued use of OUTBID after updated Terms become effective means you accept them. If you do not agree, you must stop using OUTBID.

29. Governing Law

These Terms are governed by the laws of [State/Province/Country], without regard to conflict-of-law principles.

You agree that the courts located in [County/State/Province/Country] will have exclusive jurisdiction and venue for disputes arising out of or relating to these Terms or OUTBID, unless applicable law requires otherwise. 30. Dispute Resolution

Before filing a legal claim, you agree to first contact us at legal@outbid.me and attempt to resolve the dispute informally, including your name, account email, a description of the dispute, the relief you seek, and any relevant documents or screenshots. We will try to resolve disputes in good faith.

Nothing here prevents either party from seeking urgent injunctive or equitable relief to prevent harm, infringement, abuse, security incidents, or misuse of OUTBID.

Optional arbitration clause (review with counsel before using): Any dispute arising out of or relating to these Terms or OUTBID will be resolved by binding arbitration administered by [Arbitration Provider] under its applicable rules, in [Location], in English, before one arbitrator. You and OUTBID waive the right to a jury trial and to participate in a class action, class arbitration, or representative action, except where prohibited by law. Do not include this clause unless a lawyer confirms it is appropriate for your jurisdiction and business.

31. Class Action Waiver

To the fullest extent permitted by law, you and OUTBID agree that disputes will be brought only on an individual basis and not as a class, collective, consolidated, private attorney general, or representative action.

If this waiver is found unenforceable, the unenforceable portion will be severed to the extent permitted by law. Some jurisdictions do not allow class-action waivers, so this section may not apply to you.

32. Assignment

You may not assign or transfer these Terms, your account, your username, or your rights to use OUTBID without our prior written consent.

We may assign or transfer these Terms, in whole or in part, without notice or consent, including in connection with a merger, acquisition, financing, reorganization, sale of assets, bankruptcy, change of control, or transfer of the OUTBID service.

33. Severability

If any part of these Terms is found invalid, illegal, or unenforceable, the remaining parts remain in full force, and the affected part will be interpreted or modified to the minimum extent necessary to make it valid and enforceable, if permitted by law.

34. No Waiver

Our failure to enforce any part of these Terms is not a waiver of our right to enforce it later. Any waiver must be in writing and signed by an authorized representative of OUTBID.

35. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms presented for specific features or purchases, form the entire agreement between you and OUTBID regarding your use of the service, and replace any prior or contemporaneous understandings, communications, or agreements regarding OUTBID.
